Johannes Rathgeb advises investors, industrial companies, project developers, family offices and private individuals in all areas of real estate, financing and corporate law.

A focus of his work includes advising on real estate transactions in all asset classes and forms (asset deals, share deals, forward deals, sale-and-lease-backs, structured bidding procedures, etc.). In addition, Johannes advises on the implementation of construction measures (including the pursuit of any warranty claims) and on heritable building rights, rental and lease agreements as well as good neighbor agreements.

In the area of credit financing, Mr. Rathgeb advises investors and project developers on national and cross-border real estate, corporate and acquisition financing, particularly in the context of mezzanine financing and bonds. His work includes the drafting of credit, loan and collateral agreements, bond conditions, trustee and intercreditor agreements and negotiations with investors, project developers and banks.

A further focus of his practice is advising managing directors and shareholders in all areas of corporate law, particularly in the formation and restructuring (demergers, spin-offs, mergers, etc.) of partnerships and corporations, in shareholder disputes and in joint venture agreements on real estate projects.
